This End User Licence Agreement ("EULA") is a legal agreement between you ("Client") and Radiant Calls ("Radiant Calls", "we", "our"). By signing up for and using the Radiant Calls service, you agree to be bound by the terms of this EULA. Please read it carefully before proceeding.
Radiant Calls provides a done-for-you AI voice receptionist service for trade businesses, including HVAC, plumbing, and electrical contractors. The service includes:

Subject to your compliance with this EULA and timely payment of applicable fees, Radiant Calls grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Radiant Calls service for your internal business purposes only.

The Radiant Calls service is offered on the following monthly plans:
A grace buffer of 10% above the stated call limit applies before the limit is enforced. Calls exceeding the grace limit may not be processed. Radiant Calls will notify you when you approach your monthly limit.
Fees are billed monthly. The one-time setup fee is charged at the time of signup and is non-refundable. Monthly fees are non-refundable once a billing period has commenced.
All fees are due in advance on a monthly basis. If payment cannot be processed on the due date, Radiant Calls may suspend access to the service until all outstanding amounts are settled in full. Radiant Calls will make reasonable efforts to notify you of a payment failure before suspending access. Repeated payment failures may result in termination of your account in accordance with Section 11.
Following successful signup and payment, Radiant Calls aims to complete setup of your AI receptionist within 15 minutes during business hours. Setup includes configuration of your dedicated phone number, AI assistant voice and script, notification preferences, and dashboard access.
You are responsible for forwarding or switching your existing business calls to the Radiant Calls-provided number. Radiant Calls will provide guidance on how to do this but is not responsible for any calls missed during your own number configuration process.
The Radiant Calls AI receptionist is designed for lead capture and call handling only. It does not:
Client acknowledges that the Radiant Calls service relies on artificial intelligence and speech recognition technologies. These technologies may occasionally produce inaccurate, incomplete, or unintended outputs. Radiant Calls does not warrant that the AI receptionist will correctly interpret every caller's intent or capture every lead without error. Radiant Calls will use reasonable efforts to maintain and improve AI accuracy over time.
You agree to use the Radiant Calls service only for legitimate inbound call handling for your trade business. You must not use the service to:
Radiant Calls reserves the right to suspend or terminate your account immediately if it determines, in its sole discretion, that you are in breach of this section.
By using the Radiant Calls service, you acknowledge and agree to the Radiant Calls Privacy Policy, Data Retention Policy, and Vendor Data Processing Agreements, each of which forms part of this agreement.
You are responsible for ensuring that your use of the Radiant Calls service — including the collection of caller personal data — complies with applicable data protection law in your jurisdiction. Radiant Calls includes a call recording disclosure in the AI receptionist's opening greeting to assist with this obligation.
All software, AI models, branding, and content comprising the Radiant Calls service are the exclusive property of Radiant Calls AI or its licensors. Nothing in this EULA transfers any intellectual property rights to you. Your lead data and call records remain your own data — Radiant Calls processes them as a data processor on your behalf.
Radiant Calls aims to provide a reliable, always-on service but does not guarantee 100% uptime. Scheduled maintenance, third-party service outages (including Vapi, Twilio, or Render), and events beyond Radiant Calls's reasonable control may result in temporary unavailability. Radiant Calls will make reasonable efforts to minimise disruption and will notify clients of planned maintenance where possible.
Radiant Calls shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to internet outages, telecommunications failures, acts of government or regulatory authority, natural disasters, pandemics, labour disputes, or outages affecting third-party platforms including Vapi, Twilio, Supabase, or Render. In such circumstances, Radiant Calls's obligations under this EULA will be suspended for the duration of the event.
To the maximum extent permitted by applicable law, Radiant Calls shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of business, or missed leads, arising out of or in connection with your use of the service.
Radiant Calls's total aggregate liability to you for any and all claims arising under this EULA shall not exceed the total fees paid by you to Radiant Calls in the three calendar months immediately preceding the event giving rise to the claim.
Either party may terminate this agreement at any time by providing written notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Radiant Calls may terminate or suspend your account immediately for breach of this EULA, non-payment, or abuse of the service.
Upon termination, your access to the dashboard and service will cease. Your data will be retained and deleted in accordance with the Data Retention Policy.
Radiant Calls reserves the right to update this EULA from time to time. We will notify active clients of material changes by email with at least 14 days' notice. Continued use of the service after the effective date of any update constitutes acceptance of the revised terms. The effective date at the top of this document reflects the most recent version.
This EULA and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Each party irrevocably agrees to submit to the exclusive jurisdiction of the state and federal courts located in Delaware in respect of any dispute or claim arising under this agreement.
